Ownership, Client Materials, Third-Party Assets, and Deliverables

Client Materials

Clients retain ownership of materials they provide, subject to any licenses or permissions needed for us to perform the service. The client represents that it has the right to provide and authorize use of those materials.

Final Deliverables

Ownership or usage rights in final deliverables are determined by the applicable service agreement, scope, and payment status. Where rights are assigned to the client, transfer generally applies after full payment.

Pre-Existing Materials

1st North Star retains ownership of pre-existing templates, know-how, systems, workflows, code libraries, prompts, reusable components, internal documentation, and tools developed independently of the client project unless expressly transferred in writing.

Third-Party Assets

Stock photos, fonts, plugins, themes, software, AI services, templates, audio, video, and other third-party materials remain subject to their own license terms. A client may need its own license for continued use in some cases.

Portfolio Use

We may request permission to display completed work in our portfolio. Confidential projects or projects covered by separate restrictions will not be publicly displayed without appropriate authorization.

Infringing Requests

We may decline requests that appear to infringe third-party rights, including unauthorized copying, cloning, scraping, or republishing of protected material.
