This page summarizes the standard relationship between 1st North Star Consulting and clients. Larger or custom projects may require a separate signed agreement or statement of work.
Parties
The client purchases services from 1st North Star Consulting. Individual VAs, contractors, and production personnel are assigned internally and do not become the client’s employees merely because they work on the project.
Scope
The project scope is defined by the service page, accepted quote, proposal, invoice, statement of work, or other written confirmation. Anything not included is outside scope unless later added in writing.
Client Cooperation
The client must provide accurate information, content, feedback, access, permissions, and approvals reasonably needed to perform the work.
Fees
Fees and payment schedules are set out in the applicable commercial terms. Work may be suspended if required payments are not received.
Independent Contractor Relationship
Unless separately agreed, 1st North Star performs services as an independent contractor. Nothing creates a partnership, joint venture, employment relationship, fiduciary relationship, or agency authority to bind the client.
Personnel and Subcontracting
1st North Star may use employees, contractors, specialists, technology providers, and subcontractors to fulfill the work while remaining responsible for managing the service relationship.
Confidentiality
Each party should use reasonable care to protect confidential information received from the other. More detailed confidentiality obligations may be included in a separate NDA or project agreement.
Intellectual Property
Rights in final deliverables, pre-existing materials, third-party assets, and reusable internal tools are governed by the applicable scope and Intellectual Property Policy.
Non-Solicitation / Circumvention
Where permitted by applicable law and included in the applicable agreement, clients may be restricted from directly soliciting or hiring assigned personnel outside 1st North Star for a stated period without written consent or an agreed placement fee.
Termination
Either party may terminate according to the project terms. Fees for work completed, committed resources, and non-refundable costs remain payable.
Disputes and Governing Law
This section should be finalized with Philippine legal counsel before launch and may be supplemented by project-specific international contract terms.
